Profitability and sustainability are the focuses of Taurus with the new Stock-Based Compensation Program

In the Extraordinary and Ordinary General Assembly held on April 28, 2023, Taurus Armas S.A. approved the Stock-Based Compensation Plan, replacing the previously approved Stock Option Grant Plan.

As participants in the program, Salesio Nuhs, Sergio Castilho Sgrillo Filho, Leonardo Brum Sesti, Eduardo Minghelli, Bret Vorhees (Taurus USA), and David McCallum (Taurus USA) were elected as Directors and were offered Stock Rights, according to the terms approved by the company's Board of Directors.

Using company stocks as a form of rewarding administrators
The use of company stocks as a means of rewarding administrators is not exactly new. DuPont implemented its first stock bonus plan in the United States in 1904. The granting of stock options, also known as stock options, as part of the compensation for leadership positions, became widely adopted by large companies in the 1970s and 1980s. As it represented a small portion of executive compensation, its impact was relatively minor at the time.

However, in the last decade, this practice has taken on a new dimension with the advent of technology companies and their innovative and typically more aggressive compensation programs compared to traditional industries. The major difference is that not only is the portion represented by stocks in the employee's compensation mix much more significant, but also the eligible population for stocks is much larger. Additionally, younger companies like modern startups have used stocks to attract the best talent, as these individuals see the potential for long-term gains when making a career move.

Impacts on companies' market value
This trend has brought up a previously less relevant question: what impact does this mechanism have on companies' market value?

One significant consequence for a company's value is its ability to retain top executives. It is an impact that is difficult to measure but nonetheless tangible and relevant. When making a decision to invest in a company, one of the main factors considered by conscientious investors is the existence of an equity-based incentive program and its effectiveness in ensuring the long-term commitment of executives.

As a strategy for profitability, longevity, and sustainability, companies implement long-term equity incentive plans to align the interests of their administrators with those of their shareholders, thereby maximizing performance. By receiving the same unit of value that shareholders use as a measure of their wealth, executives are encouraged to make decisions as true partners, pursuing the long-term success of the company.

Such plans are also used as an effective tool to attract and retain key professionals for the business. Currently, the inclusion of this type of incentive is part of most executive compensation packages.

In summary, it can be said that the granting of equity is an excellent way to align the interests of the company and its administrators, encourage long-term commitment, and enhance competitiveness in attracting new talent. Therefore, companies with a strong long-term incentive program will certainly be preferred by conscientious investors and will see their market value amplified in an eventual IPO or when raising capital through an equity increase.

Avoiding distortions in short and medium-term share performance

One alternative to avoid potential distortions in short and medium-term share performance is to extend the duration of the plan. In the long term, movements related to macroeconomics and the sector tend to offset each other, and stock prices converge towards their intrinsic value, reflecting the impact of management decisions. Additionally, a plan with a longer vesting period (the period after which recipients can sell their shares) also aligns management with the shareholder's perspective, which typically has a long-term outlook.

Restricted Stock Units (RSUs) - Taurus' choice for its program
The compensation mechanism of RSUs is similar to Stock Options (SOP), where the recipient also needs to remain with the company for a predetermined period (vesting period). The difference is that the shares are automatically delivered to the recipient without the need to exercise an option. It is important to note that this type of compensation does not establish a fixed value per share. At the end of the vesting period, the recipient receives the agreed-upon quantity of shares on one or more dates (vesting dates), as specified in the contract, as is the case with Taurus.

Unlike Stock Options, which may require recipients to incur expenses to purchase the shares, RSUs are an expense borne by the company. In other words, the recipient receives the shares free and clear, without the need for any payment or other consideration.

For Taurus, the vesting period of its Stock-Based Compensation Plan will extend from 04/28/2024 to 03/30/2029, as follows:
- 04/28/2024: 20% of the shares;
- 03/30/2025: 10% of the shares;
- 03/30/2026: 10% of the shares;
- 03/30/2027: 10% of the shares;
- 03/30/2028: 10% of the shares;
- 03/30/2029: 40% of the shares.

In the United States, Taurus' main competitors, Smith & Wesson Brands Inc. and Sturm, Ruger & Co, Inc., also utilize a Restricted Stock Unit-based compensation plan. The recent adoption of this plan by the Brazilian multinational represents another step towards aligning best practices and administrative strategies with its competitors, which could facilitate a potential future listing of the company on a US stock exchange.

In a winning team, you don't make changes
This football maxim is also highly applicable to companies that are achieving success in their businesses due to the excellence of their administrators, making it worthwhile to invest in keeping them on board.

Assuming the role of Global CEO of Taurus Firearms in 2018, the experienced executive Salesio Nuhs assembled a competent team of executives and decisively propelled the necessary transformations, accomplishing the most iconic corporate turnaround of this century in Brazil. This success extended to both the Brazilian and American units, where the headquarters was relocated to Georgia in 2019 (with numerous advantages). Salesio also created the CITE - Integrated Technology and Engineering Center Brazil/USA, centralizing all the development of new firearms and disruptive technologies (such as graphene, niobium, DLC, and long-fiber polymer) in Brazil. The CITE is fueled by the company's Market Intelligence Sector, which seeks to anticipate market trends as well as consumer needs and desires.

In 2020, the company entered into a joint venture with the powerful Jindal Group to produce firearms in India. Taurus launches an unprecedented line of suppressors (silencers) made in Brazil

Taurus Armas S.A., the world's largest seller of light firearms, has entered a new business segment: the production of noise suppressors (silencers), which are being manufactured at the company's headquarters in São Leopoldo, Brazil, becoming the only national company to produce this equipment.

At LAAD Defence & Security 2023, which is taking place at Riocentro in the city of Rio de Janeiro, Taurus is strategically presenting the first versions of its high-performance, multi-caliber suppressor line for the national and international markets, aimed at improving the performance of tactical and special operations professionals.

Lightweight, versatile, and of high quality, Taurus suppressors are the first in the world to be produced with a single core in Titanium, with an exclusive Cerakote® Graphene coating, and have innovative ring systems. In addition, they reduce the noise of shots by up to 25dB, ensure stability in firearms with less recoil, and allow for quick attachment.

All Taurus suppressors exceed international standards by 15%, giving the company a competitive advantage.

The launch of a line of noise suppressors is an important strategic step for Taurus, as it will not only better equip the weapons it produces but will also enter the global suppressor market, currently estimated at USD 400 million per year, according to a source from the American Suppressor Association, and which has strong growth potential, given that the growing global demand for equipment has given a huge boost to the global market for the product. Taurus suppressors include the ST M183, which has specific use for 9mm calibers, the ability to be used with pistols and rifles, and a black anodized paint finish. It has a ring system and direct thread mounting, which facilitates handling, conservation, and cleaning of the equipment.

The ST M177 is a multi-caliber high-performance option for special tactical operations. It can be used in calibers 5.56, 7.62, or 9mm, reducing the noise of shots by up to 25 dB, and has a direct thread connection system. Produced in Titanium with an exclusive Cerakote Graphene finish in black or other colors (upon request).

The Taurus ST M210 Suppressor features an exclusive Cerakote Graphene finish, in black and other colors (upon request), and reduces shot noise by up to 25dB. It can be used with 7.62mm, .308, or .30-06 calibers and weighs only 360 grams. The ST M210 is made of a single body of titanium and has a fixed thread mount and direct thread mount with a ring system.

The ST 22 is the smallest and lightest release in the line, weighing only 125g. It is another option for use in specific caliber, and has direct thread mounting. The reduction of shot noise can reach up to 25 dB, which guarantees its performance, especially in special tactical operations.

Noise Reduction
Taurus suppressors reduce the blast of shots by up to 25dB. It may not seem like much, as it represents a reduction from 150dB/160dB to around 125dB/135dB. However, this sound measurement scale is logarithmic, which means a significant reduction in the potential harm of noise. Basically, it's a difference similar to what is provided by a good ear muff.

It is important to emphasize that, depending on the caliber (and ammunition), the sound of the shot, even with a suppressor and subsonic ammunition, is quite pronounced and would not be difficult to distinguish in a normal environment.

Advantages and applications
Contrary to what action movies suggest, the main advantage of using suppressors is to bring the noise of the shot to a level that is less harmful to the shooter's ears, especially in countless training situations. Ears are sensitive to loud noises and are injured with each shot, hence the importance of using ear muffs when using a firearm whenever possible.

When the suppressor is used in conjunction with ear muffs, the chances of causing a more serious ear injury are drastically reduced. Professional shooters can lose up to 50% of their hearing after years of competition, and the use of suppressors in conjunction with ear muffs could significantly reduce this type of damage.

In addition to reducing the intensity of the noise, the supressor is also useful in other important functions, such as practically suppressing the flash at the moment of firing and reducing the recoil of the firearm.

The combination of these advantages makes the equipment indispensable for some tactical actions, such as the operation of military or security special forces, for example, where it is not desirable for the shooter to be easily identified by the noise of the shot or the flash of the firearm. It is also useful in some sports hunting situations, when there is no desire to scare the hunted animals or other animals with a loud noise.

Taurus will launch the GX4 Graphene pistol in the USA and the TS9 and TS9c Graphene in Brazil

Soon, Taurus Armas S.A. will also be launching in the US the GX4 Graphene pistol, the world's first weapon to use graphene, hoping to repeat and even expand the success that the GX4 pistol had in May 2021, in Brazil and the United States, simultaneously.

In July 2022, the launch of the innovative Taurus GX4 Graphene pistol in Brazil was another great success. In most stores, the model had already sold out of available stocks in just two days.

In addition to the unprecedented technological innovation provided by graphene, Taurus' expectations are justified by the quantity and quality of awards the pistol has already won in the US in just two years.

Other cutting-edge technologies: niobium, DLC, and long-fiber polymer
Taurus is conducting advanced studies for the use of niobium nanoparticles in metal parts (MIM). Additionally, this firearm also features DLC technology (a material that gives steel the strength of diamond - diamond-like carbon) and will soon also feature long-fiber polymer.

The company negotiated a groundbreaking contract for the nationalization of DLC application technology, which was already being used in the barrel of the micro-compact GX4 pistol line at the Taurus USA factory, and the first 1,000 Brazilian barrels are already being produced at the Supplier Condominium, where the new factory will be located. DLC consists of a thin carbon film with physical-chemical characteristics similar to diamond. It is applied to metal surfaces to ensure new properties such as extremely high resistance to friction and corrosion.

Furthermore, an unprecedented technology transfer partnership is also being set up with an American company to develop long-fiber polymers, a material that provides greater strength and robustness to the product while reducing the final cost. Taurus engineers are already developing a prototype in Brazil for use in tactical weapon magazines.

In summary, these technologies aim to provide greater resistance, robustness, lightness, and durability to the firearm, making it also practically immune to "metal cancer" (corrosion), qualities that are highly valued by American police and military markets and that, according to the company, may constitute an unbeatable differential in the US and worldwide.

Soon, Taurus may announce a partnership, joint venture, or operational management with an American company that already has a tradition in Law Enforcement. The goal is to facilitate and accelerate entry into this huge market, both in the US and around the world.
